Platform Terms for Clinicians
Effective Date: October 18, 2026
Version: 1.2
These Platform Terms for Clinicians (“Terms”) govern the use of the NVOX platform, including the NVOX Clinician Hub, by any licensed clinician approved by NVOX to access or provide professional services through the platform (“Clinician”).
By accessing or using the platform, the Clinician confirms that they have read, understood, and agree to these Terms.
1. Purpose of the Platform
NVOX operates a technology platform designed to facilitate structured diagnostic evaluation workflows, clinician review, report related workflows, client feedback sessions, and related professional services.
The platform may support:
Intake and assessment workflows
Assessment data and supporting information
Clinical support outputs
Draft and final reports
Scheduling and communications
Clinical review and documentation
Feedback sessions
Quality review
Related operational processes
Clinicians use the platform to review authorized case materials, exercise independent professional judgment, communicate findings, complete required documentation, and perform applicable workflow steps.
2. Clinician Pathways
NVOX supports two clinician pathways.
An “NVOX Assigned Clinician” is a licensed clinician who receives cases through NVOX and provides compensated professional services as part of an NVOX managed or NVOX arranged service pathway.
A “Connected Clinician” is a licensed clinician who accesses or uses the platform in connection with a client or patient connected to the Clinician through the NVOX Connected Clinician Path, whether the professional relationship existed before the connection or begins afterward.
A Clinician may be approved for one or both pathways.
When a Clinician is approved for both pathways, the Clinician’s role and obligations are determined separately for each case.
Terms relating to NVOX case assignment, compensation, NVOX scheduled feedback sessions, banking information, availability, and NVOX managed client communication apply only when the Clinician is acting as an NVOX Assigned Clinician or otherwise providing compensated services to NVOX.
Connected Clinicians remain responsible for their own professional relationships with their clients or patients, including professional judgment, communications, documentation, billing, legal obligations, and ethical obligations, unless otherwise agreed in writing by NVOX.
NVOX does not control the Clinician’s independent professional judgment in either pathway.
3. Eligibility and Credentialing
Only Clinicians approved by NVOX may access and use the platform.
The Clinician represents that they hold all licenses, credentials, qualifications, and professional authorizations required for the services they provide through or in connection with the platform.
The Clinician may provide services only where legally authorized, taking into account:
The client’s location
The Clinician’s license
Applicable telehealth requirements
Applicable compact privileges
Temporary or other lawful authorization
The Clinician’s professional competence and authorized scope
NVOX may verify the Clinician’s:
Identity
Licensing information
Professional status
Credentials
Professional liability insurance
Disciplinary history
Eligibility to participate
The Clinician must promptly notify NVOX of any license expiration, suspension, restriction, probation, investigation, complaint, disciplinary action, impairment, or other event that may affect the Clinician’s ability to participate.
NVOX may limit platform access to jurisdictions, services, or pathways for which the Clinician has been approved.
4. Platform Access and Account Security
Access to the platform is provided through a secure individual account.
The Clinician is responsible for:
Maintaining the confidentiality of login credentials
Protecting authentication methods
Maintaining accurate account information
Preventing unauthorized access
All activity conducted through the Clinician’s account
The Clinician must not:
Share login credentials
Permit another person to use the account
Allow unauthorized individuals to access the platform
Attempt to bypass authentication or security controls
The Clinician must promptly notify NVOX of any suspected unauthorized access, credential compromise, security incident, or misuse of the platform.
5. Authorized Use of the Platform
The Clinician may use the platform only for lawful purposes and only in connection with:
Cases assigned or offered by NVOX
Clients properly connected to the Clinician through an approved NVOX pathway
Other activities expressly authorized by NVOX
Authorized use may include:
Reviewing assessment information and case materials
Reviewing reports and clinical support outputs
Conducting feedback sessions where applicable
Confirming, revising, or declining recommendations
Documenting clinical review
Communicating findings
Completing required workflow and case closure steps
The Clinician must not use the platform for unrelated personal, commercial, research, competitive, or unauthorized purposes.
6. Assigned Cases and Connected Clients
6.1 NVOX Assigned Clinicians
Cases may be offered or assigned based on:
Licensing coverage
Availability
Client location
Case type
Language
Scheduling capacity
Quality requirements
Operational needs
Platform demand
The Clinician may accept or decline offered cases unless a separate written arrangement provides otherwise.
The Clinician must decline, pause, or escalate a case if the Clinician is not licensed, authorized, qualified, available, or professionally able to provide the requested services.
NVOX does not guarantee any minimum number of cases, assignments, referrals, hours, compensation, or income.
6.2 Connected Clinicians
A Connected Clinician may access only clients properly associated with the Clinician through an approved NVOX workflow.
The Connected Clinician remains responsible for the independent professional relationship with the client, including:
Professional judgment
Communication of findings
Follow up
Documentation and recordkeeping
Informed consent
Billing and other financial arrangements
Compliance with applicable professional and legal obligations
NVOX does not guarantee that any client will begin or continue a professional relationship with a Connected Clinician.
7. Clinical Judgment
The platform may provide structured workflows, reports, analytical outputs, and clinical decision support materials.
The Clinician retains full responsibility for professional judgment when:
Reviewing case materials
Interpreting findings
Communicating results
Revising recommendations
Completing professional services
The Clinician may:
Clarify interpretations
Add relevant clinical observations
Modify recommendations
Identify concerns
Request additional review
Decline to approve or communicate findings
The Clinician must not treat platform generated information as a substitute for independent professional judgment.
The Clinician must not approve, communicate, or rely on information that the Clinician believes is unsupported, incomplete, clinically inappropriate, technically unreliable, or outside the Clinician’s competence or authorized scope.
8. Communication and Independent Professional Relationships
The Clinician must communicate professionally, clearly, respectfully, and within the scope of the services being provided.
When acting as an NVOX Assigned Clinician, feedback sessions and related client communications must follow applicable NVOX workflows and platform policies.
When acting as a Connected Clinician, the Clinician remains responsible for communications and follow up within the Clinician’s own professional relationship with the client.
If a client chooses to engage the Clinician directly for services outside the NVOX platform, including a client initially introduced to the Clinician through NVOX, that professional relationship is solely between the client and the Clinician.
NVOX is not a party to that relationship, does not manage or supervise it, and does not charge or receive any commission, referral fee, revenue share, or other payment in connection with it.
NVOX supports patient choice and lawful continuity of care, including a client’s decision to continue working directly with the Clinician.
The Clinician may not use the platform, client information, or an NVOX feedback session to pressure, mislead, or improperly solicit a client for separate services.
Any direct professional relationship must be handled independently of NVOX and in accordance with applicable law, professional standards, informed consent requirements, and the Clinician’s own billing, documentation, privacy, and recordkeeping obligations.
9. Required Documentation
The Clinician must accurately and promptly complete all documentation required within the platform.
Required documentation may include:
Confirmation of case or report review
Feedback session completion
Changes to recommendations
Clinical or technical concerns
Escalation notes
Client communication notes
No show or cancellation information
Case closure steps
For Connected Clinicians, platform documentation requirements apply to activities completed within the platform.
Platform documentation does not replace the Connected Clinician’s own professional recordkeeping obligations unless otherwise agreed in writing by NVOX.
10. Escalation
The Clinician must escalate a case through the platform if the Clinician identifies:
A clinical concern
A safety or emergency concern
A report concern
A technical concern
An assessment validity concern
A licensing or jurisdictional concern
A client complaint or misunderstanding
Missing or conflicting information
Another issue that may affect the quality, reliability, safety, or appropriateness of the case
The Clinician must not approve, communicate, or close a case if the Clinician believes that additional review is required.
11. Emergency and Mandatory Reporting Obligations
NVOX is not an emergency service and does not provide crisis intervention through the platform.
The Clinician is responsible for complying with all applicable obligations concerning:
Mandatory reporting
Duty to warn
Duty to protect
Child abuse
Elder abuse
Dependent adult abuse
Imminent harm
Self harm
Threats to others
Emergency response
If an urgent safety issue arises during a feedback session or related communication, the Clinician must follow applicable professional and legal obligations and document or escalate the issue through the platform as appropriate.
12. Data Security and Confidentiality
The Clinician may access client information only as necessary to perform authorized services through or in connection with the platform.
The Clinician must maintain appropriate administrative, physical, and technical safeguards to protect:
Client information
Protected health information
Platform information
NVOX confidential information
The Clinician must not access information that is unrelated to:
Assigned cases
Authorized platform workflows
The Clinician’s properly connected client or patient relationship
The Clinician must comply with the separate HIPAA, PHI, Confidentiality, and Business Associate Terms presented through the platform, where applicable.
12.1 Calendar Connection
To receive NVOX Direct cases, the Clinician must connect a calendar supported by the platform. Google Calendar is currently supported. Without a connected calendar, the Clinician can use the platform but cannot receive NVOX Direct cases.
When a calendar is connected, NVOX reads the Clinician’s free and busy times so that clients are offered only available times, and keeps the Clinician’s NVOX sessions on a separate “NVOX Sessions” calendar that NVOX creates. Session events contain only a title, the session time, and a link to the platform, never client information. NVOX does not read or change the Clinician’s other calendars or their events. The Clinician must not add client information to these events.
NVOX’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
The Clinician may disconnect the calendar at any time in the platform settings. NVOX then deletes the NVOX Sessions calendar and removes its access to the Clinician’s calendar.
A calendar connection described in this section is approved by NVOX for the purposes of Section 14.
13. Secure Devices and Private Environments
The Clinician must access the platform only from secure devices, secure networks, and private environments appropriate for confidential professional work.
The Clinician must:
Use required authentication controls
Maintain appropriate device security
Prevent unauthorized viewing or access
Protect information displayed or communicated through the platform
The Clinician must not conduct feedback sessions or review confidential client information in public or nonprivate environments where confidentiality may be compromised.
14. Prohibition on External AI and Third Party Tools
The Clinician may not upload, enter, paste, transmit, summarize, process, analyze, or otherwise use any client information, report, protected health information, assessment data, recording, transcript, platform content, or case material through any external artificial intelligence system, chatbot, transcription tool, note taking tool, summarization tool, storage service, messaging service, browser extension, or third party software unless expressly approved in writing by NVOX and covered by appropriate contractual safeguards.
This restriction applies regardless of whether the tool is:
Public or private
Free or paid
Consumer or professional
Cloud based or locally installed
NVOX may maintain an approved tools list.
If the Clinician is unsure whether a tool is approved, the Clinician must obtain written approval from NVOX before using it with client information or platform content.
15. Prohibited Conduct
The Clinician must not:
Misuse the platform
Interfere with platform operation or security
Access data unrelated to authorized cases or connected clients
Share account credentials
Bypass platform safeguards or access controls
Use the platform for unlawful, fraudulent, abusive, deceptive, or harmful purposes
Use client information for unauthorized purposes
Improperly solicit clients
Copy, replicate, reverse engineer, or attempt to derive the platform’s source code, logic, structure, workflows, or proprietary methods
Use NVOX materials to develop a competing or substantially similar service
Introduce malicious software, code, files, or content into the platform
Misrepresent professional qualifications, licensing status, identity, or authority
16. Intellectual Property and Records
All technology, software, algorithms, workflows, documentation, templates, scoring presentations, methodology presentations, platform materials, and related materials associated with the NVOX platform are the exclusive property of NVOX or its licensors.
The Clinician may not copy, reproduce, distribute, modify, reverse engineer, commercialize, or create derivative works from any part of the platform except as expressly authorized by NVOX in writing.
Nothing in these Terms is intended to prevent:
A client from accessing their own report
A Clinician from retaining records that the Clinician is legally required to retain
Patient specific signed reports and records must be handled in accordance with applicable privacy, health record, professional, and retention requirements.
17. Conflicts of Interest
The Clinician must disclose any conflict of interest, prior relationship, dual relationship, financial interest, personal relationship, professional relationship, or other circumstance that may affect:
Professional judgment
Independence
Objectivity
The appropriateness of accepting or continuing a case
NVOX may reassign, pause, suspend, or review a case if a conflict or potential conflict is identified.
18. Platform Policies and Updates
The Clinician agrees to comply with all platform guidelines, operational procedures, clinical workflow requirements, security requirements, documentation requirements, quality standards, and compliance requirements communicated by NVOX.
NVOX may update platform policies and procedures from time to time.
NVOX will provide notice of material updates through the platform, by email, or through another appropriate method.
Continued use of the platform after notice constitutes acceptance of the updated policies to the extent permitted by law.
19. Monitoring, Audit, and Quality Review
NVOX may monitor, audit, review, and document:
Platform activity
Access logs
Case completion
Workflow compliance
Quality indicators
Security related activity
User activity
Client feedback and complaints
Other operational records
Such activity may be conducted for operational, compliance, quality assurance, security, and risk management purposes.
The Clinician agrees to cooperate with reasonable:
Credential reviews
Insurance verification
Quality reviews
Security reviews
Incident investigations
Compliance inquiries
Access audits
20. Compliance Training and Attestations
The Clinician agrees to complete any privacy, security, HIPAA, platform, documentation, workflow, or incident reporting training required by NVOX before accessing client information or performing applicable services.
NVOX may require periodic:
Compliance refreshers
Policy acknowledgments
Security attestations
Credential updates
License confirmations
Insurance confirmations
Other reasonable compliance checks
The Clinician must promptly notify NVOX of any actual or suspected:
Privacy concern
Security incident
Unauthorized disclosure
Credential compromise
Licensing issue
Client safety concern
Professional complaint
Disciplinary matter
NVOX may suspend or limit access when required compliance steps are incomplete, expired, inaccurate, or not maintained.
21. Suspension, Termination, and Transition
NVOX may suspend, limit, or terminate platform access if the Clinician:
Violates these Terms
Fails to maintain required professional credentials
Fails to maintain required insurance where applicable
Misuses the platform
Violates privacy or security requirements
Fails to complete required compliance steps
Creates a quality, safety, legal, licensing, professional, security, or client risk
Provides materially false or misleading information
Termination of compensated services as an NVOX Assigned Clinician does not automatically terminate separate participation as a Connected Clinician unless NVOX also suspends or terminates general platform access.
NVOX may suspend one pathway while allowing continued participation in another pathway when appropriate.
Upon termination or suspension, the Clinician must cooperate reasonably to transition:
Open cases
Scheduled feedback sessions
Pending documentation
Client related obligations
The transition should be handled in a manner intended to avoid disruption, abandonment, or unnecessary delay, subject to applicable law and professional obligations.
The Clinician must cease accessing any client information or platform content for which access is no longer authorized.
22. Limitation of the Platform’s Role
NVOX provides technology infrastructure, structured workflows, operational support, and clinical decision support tools.
NVOX does not practice psychology or medicine and does not independently provide clinical diagnoses, psychotherapy, prescription services, or ongoing clinical treatment through the platform.
All clinical decisions, professional judgments, client communications, and recommendations made by the Clinician remain the professional responsibility of the Clinician.
NVOX is not responsible for professional services provided independently by a Connected Clinician or for any separate professional relationship between a Clinician and a client.
23. Limitation of Liability
To the fullest extent permitted by law, NVOX shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Clinician’s use of the platform or services performed through or in connection with the platform.
Nothing in these Terms limits liability that cannot lawfully be limited.
24. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
25. Order of Precedence
If these Terms conflict with the Independent Contractor Agreement, the Independent Contractor Agreement will control only with respect to compensated services provided to NVOX.
If these Terms conflict with applicable HIPAA, PHI, confidentiality, privacy, data protection, or business associate terms, the provision providing greater protection to client information and protected health information will control to the extent permitted by law.
26. Entire Agreement
These Terms, together with any applicable Independent Contractor Agreement, HIPAA, PHI, confidentiality, privacy, data protection, business associate, compensation, case offer, and platform policy terms incorporated by reference, constitute the entire agreement concerning the Clinician’s use of the platform.
These Terms supersede prior oral or written discussions or representations concerning platform use, except for a separate written agreement signed or electronically accepted by the applicable parties.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the greatest extent permitted by law.
The remaining provisions shall remain in full force and effect.
28. No Waiver
A party’s failure or delay in enforcing any provision of these Terms does not waive that provision or the right to enforce it later.
A waiver is effective only if made in writing by the party granting it.
29. Electronic Acceptance
By electronically accepting these Terms, the Clinician confirms that they have read, understood, and agree to them.
NVOX may maintain records of electronic acceptance, including:
